These Terms & Conditions (“Terms”) govern your use of our website(s), services, and related offerings (together, the “Services”). By using our Services, placing an order, or submitting an enquiry or Free Website Check request, you agree to these Terms.

2. Scope of Services

2.1 Free Website Preview

We offer a Free Website Preview for trades businesses in Northern Ireland.
This is a no-cost service where we design a mock-up image showing how your business could look with a modern OZAX website.
The preview is free of charge and provided for reference only — there’s no obligation to purchase any paid service.
You agree that we may use your preview design (and your business name/logo if included) in our portfolio and/or marketing materials.
We may contact you using the details you provide to discuss your preview or related services.
The preview is delivered as a static image, not a live website.
Our aim is to deliver the preview within 72 hours of receiving enough information, though this is a goal, not a guarantee.

2.2 OZAX Subscriptions

Our OZAX Subscription service provides a complete, managed website solution for trades businesses.

Each subscription includes:

  • Design and build of a professional trade website using the OZAX structure and templates.
  • Hosting, maintenance, and ongoing updates, including small content or design edits each month.
  • Performance tuning and improvements made at our discretion to help improve enquiries and site results.
  • Optional help with Google Business Profile setup, optimisation, and basic SEO fundamentals.

Not included unless agreed in writing: domain registration or renewal, custom development or major redesigns, or photography/video/branding services.

Delivery timeframe: We aim to deliver the first live version within 3 weeks after receiving your initial payment and all required content, photos, and approvals. This is a target, not a guarantee, and depends on timely input from you.

2.3 Referral Program

  • By submitting a referral, you confirm that the tradesman has given you permission to share their details with OZAX.
  • You agree that the tradesman is happy for OZAX to contact them regarding our services.
  • OZAX will contact the referred tradesman a maximum of three times (one email, one text message, and one phone call).
  • OZAX will not spam, sell, or share the tradesman’s information with any third parties.
  • You will receive a £150 reward when the referred tradesman becomes a paying OZAX client and completes their initial payment.
  • Rewards are issued within 7 days via bank transfer or PayPal.
  • There is no limit to the number of referrals you may make.
  • In the case of duplicate referrals, the reward is issued to the referrer the tradesman confirms, or otherwise the first valid referral submitted.
  • You may refer your own business and remain eligible for the reward, provided you join as a paying OZAX client.
  • OZAX may decline rewards for fraudulent, fabricated, or otherwise invalid referrals.
  • OZAX reserves the right to amend or withdraw the Referral Programme at any time without prior notice, without affecting approved referrals already submitted.

3. Ordering, Client Responsibilities & Onboarding

3.1 Ordering. Orders are placed through our website checkout (Stripe) or by written acceptance of a proposal/invoice.
3.2 Onboarding & Content. You agree to complete the Onboarding Form and supply accurate, lawful content (text, images, logos) and any required access promptly. Delays in providing content or approvals will delay delivery.
3.3 Approvals. Where we request feedback/approval, you agree to respond within 7 days. If no response, we may proceed based on our professional judgment or pause delivery.
3.4 Acceptable Use. You must not use the Services for unlawful content or activities, including but not limited to misleading advertising, IP infringement, malware, or abusive/illegal content.

4. Fees, Payment & Suspension

4.1 Prices & Taxes. Prices are as shown at checkout or in your proposal. Prices are exclusive of VAT unless stated otherwise.
4.2 Payments via Stripe. Payment is via Stripe. For WaaS, there is usually (i) a one-off upfront fee and (ii) a recurring subscription. By subscribing, you authorise recurring charges until cancellation.
4.3 No Refunds. Fees are non-refundable unless required by law. You can cancel future billing any time (see §5). The upfront fee is non-refundable once work has commenced.
4.4 Late/Failed Payments & Suspension. If a payment remains overdue by 14 days, we may suspend your website and/or access until payment is received. We are not liable for any loss arising from such suspension.

5. Cancellations & Termination

5.1 Your Cancellation. You may cancel your WaaS subscription at any time by emailing info@ozax.io (or via any available Stripe portal). Cancellation is effective at the end of the current billing period.
5.2 Our Termination. We may terminate or suspend Services immediately if (a) you materially breach these Terms; (b) your use is unlawful or harmful; (c) required by law; or (d) non-payment persists.
5.3 Effect of Termination. Upon termination/cancellation:

  • Your access to our hosted Services ends at the end of the paid period (or upon suspension for non-payment).
  • We will co-operate reasonably to help redirect your domain if you own/control it.
  • We can provide available content exports on request where feasible (Third-Party limits may apply). Our proprietary structure and system remain OZAX property (see Section 6).

6. Intellectual Property & Licensing

6.1 Your IP. You retain ownership of your content, logos, branding, and materials you supply. You grant us a non-exclusive licence to use such content to deliver the Services and to display the completed work in our portfolio and marketing (see §9).
6.2 OZAX IP. OZAX retains all rights in the underlying website structure, templates, components, and system (“OZAX Structure”). During an active subscription, we grant you a limited, non-transferable licence to use the OZAX Structure as part of your site. This licence ends when your subscription ends.
6.3 Administrative Access. We retain administrative access and may implement reasonable performance or design improvements to enhance results without materially harming your brand.

7. Domains & Third-Party Services

7.1 Domains. You are responsible for purchasing and renewing your domain name. We can assist with DNS configuration but do not sell domains.
7.2 Third-Party Services. Our Services rely on third parties (e.g. hosting, payments, analytics, marketing). You acknowledge that we do not control such services and that your use may be subject to their own terms and privacy policies.

8. Delivery Targets & Service Levels

8.1 Free Website Check — aim within 72 hours of receiving details (not guaranteed).
8.2 WaaS Delivery Target — approx. 3 weeks from complete content and payment (not guaranteed).
8.3 Support — responses typically within 1 business day; critical incidents handled as soon as reasonably possible.
8.4 Uptime — hosting via Third-Party Services; no guarantee of continuous uptime but we liaise with providers to restore service promptly.

9. Marketing, Credits & Portfolio Use

9.1 Portfolio. You grant us permission to display your project (screenshots, URLs, or results where lawful) in our portfolio and marketing materials.
9.2 Attribution. We may include a small “Built by OZAX” footer credit; you may request removal for an additional fee if offered.

10. Privacy, Data & Communications

10.1 Data Collected. When you submit forms (including the Free Website Check), you provide contact details and business information. We use this to deliver the requested service and follow up one-to-one about related services. We do not add you to marketing emails without explicit consent.

10.2 Processors & Controllers. For most client websites, you are the data controller of visitor/customer data. OZAX acts as a data processor when handling that data on your behalf. Each party will comply with UK GDPR and applicable data-protection law.

10.3 Analytics & Cookies. We may use analytics and tracking technologies to understand usage and improve our Services. These may include third-party providers operating under their own privacy policies. Non-essential cookies and similar technologies are only activated after user consent. See our Privacy Policy and Cookie Notice for details and choices.

10.4 Security. We implement reasonable technical and organisational measures but cannot guarantee absolute security.

11. Warranties & Disclaimers

11.1 We will provide the Services with reasonable skill and care. Except as stated in these Terms, the Services are provided “as is” and “as available”.
11.2 We do not warrant that the Services will be uninterrupted or error-free, or that specific results (e.g. rankings or leads) will be achieved.

12. Limitation of Liability

12.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or other liability which cannot be excluded by law.
12.2 To the fullest extent permitted by law, we shall not be liable for (a) loss of profits or revenue; (b) loss of data; (c) indirect or consequential loss; (d) downtime or issues from Third-Party Services.
12.3 Our total aggregate liability shall not exceed the fees paid by you to OZAX in the 12 months preceding the event giving rise to the claim.

13. Indemnity

You agree to indemnify and hold OZAX harmless from claims, losses, or liabilities arising from (a) your content or instructions; (b) your breach of these Terms; (c) your misuse of the Services; or (d) your violation of law or third-party rights.

14. Changes to Services or Terms

We may modify the Services or these Terms to reflect operational, legal, or regulatory changes. We will post updates with a new “Last updated” date. Material changes will be notified where practical. Continued use after changes constitutes acceptance.

15. Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including Third-Party outages, internet failures, strikes, acts of God, or regulatory actions.

16. Complaints & Dispute Resolution

We aim to resolve issues promptly and fairly. Please contact info@ozax.io with details of any complaint. We will seek to resolve disputes amicably before formal action.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of Northern Ireland and applicable UK law. The courts of Northern Ireland shall have exclusive jurisdiction over any dispute arising from these Terms or the Services.

18. General Legal Terms

18.1 Entire Agreement. These Terms (and any proposal/order) constitute the entire agreement between you and OZAX and supersede prior communications.
18.2 Severability. If any provision is invalid or unenforceable, the remainder continues in effect.
18.3 No Waiver. Failure to enforce any right is not a waiver of that right.
18.4 Assignment. You may not assign these Terms without our consent. We may assign or subcontract obligations provided your rights are not materially affected.
18.5 Notices. Formal notices must be sent by email to info@ozax.io. We may send notices to the email provided in your order or account.

These may include third-party providers operating under their own privacy policies. Non-essential cookies and similar technologies are only activated after user consent. 10.4 Security. We implement reasonable technical and organisational measures but cannot guarantee absolute security.

11. Warranties & Disclaimers

11.1 We will provide the Services with reasonable skill and care. Except as stated in these Terms, the Services are provided “as is” and “as available”.

12.3 Our total aggregate liability shall not exceed the fees paid by you to OZAX in the 12 months preceding the event giving rise to the claim.

2.1 Free Website Preview

We offer a Free Website Preview for trades businesses in Northern Ireland.
This is a no-cost service where we design a mock-up image showing how your business could look with a modern OZAX website.
The preview is free of charge and provided for reference only — there’s no obligation to purchase any paid service.
You agree that we may use your preview design (and your business name/logo if included) in our portfolio and/or marketing materials.
We may contact you using the details you provide to discuss your preview or related services.
The preview is delivered as a static image, not a live website.
Our aim is to deliver the preview within 72 hours of receiving enough information, though this is a goal, not a guarantee.

2.2 OZAX Subscriptions

Our OZAX Subscription service provides a complete, managed website solution for trades businesses.

Each subscription includes:

  • Design and build of a professional trade website using the OZAX structure and templates.
  • Hosting, maintenance, and ongoing updates, including small content or design edits each month.
  • Performance tuning and improvements made at our discretion to help improve enquiries and site results.
  • Optional help with Google Business Profile setup, optimisation, and basic SEO fundamentals.

Not included unless agreed in writing: domain registration or renewal, custom development or major redesigns, or photography/video/branding services.

Delivery timeframe: We aim to deliver the first live version within 3 weeks after receiving your initial payment and all required content, photos, and approvals. This is a target, not a guarantee, and depends on timely input from you.

3. Ordering, Client Responsibilities & Onboarding

3.1 Ordering. Orders are placed through our website checkout (Stripe) or by written acceptance of a proposal/invoice.
3.2 Onboarding & Content. You agree to complete the Onboarding Form and supply accurate, lawful content (text, images, logos) and any required access promptly. Delays in providing content or approvals will delay delivery.
3.3 Approvals. Where we request feedback/approval, you agree to respond within 7 days. If no response, we may proceed based on our professional judgment or pause delivery.
3.4 Acceptable Use. You must not use the Services for unlawful content or activities, including but not limited to misleading advertising, IP infringement, malware, or abusive/illegal content.

4. Fees, Payment & Suspension

4.1 Prices & Taxes. Prices are as shown at checkout or in your proposal. Prices are exclusive of VAT unless stated otherwise.
4.2 Payments via Stripe. Payment is via Stripe. For WaaS, there is usually (i) a one-off upfront fee and (ii) a recurring subscription. By subscribing, you authorise recurring charges until cancellation.
4.3 No Refunds. Fees are non-refundable unless required by law. You can cancel future billing any time (see §5). The upfront fee is non-refundable once work has commenced.
4.4 Late/Failed Payments & Suspension. If a payment remains overdue by 14 days, we may suspend your website and/or access until payment is received. We are not liable for any loss arising from such suspension.

5. Cancellations & Termination

5.1 Your Cancellation. You may cancel your WaaS subscription at any time by emailing info@ozax.io (or via any available Stripe portal). Cancellation is effective at the end of the current billing period.
5.2 Our Termination. We may terminate or suspend Services immediately if (a) you materially breach these Terms; (b) your use is unlawful or harmful; (c) required by law; or (d) non-payment persists.
5.3 Effect of Termination. Upon termination/cancellation:

  • Your access to our hosted Services ends at the end of the paid period (or upon suspension for non-payment).
  • We will co-operate reasonably to help redirect your domain if you own/control it.
  • We can provide available content exports on request where feasible (Third-Party limits may apply). Our proprietary structure and system remain OZAX property (see Section 6).

6. Intellectual Property & Licensing

6.1 Your IP. You retain ownership of your content, logos, branding, and materials you supply. You grant us a non-exclusive licence to use such content to deliver the Services and to display the completed work in our portfolio and marketing (see §9).
6.2 OZAX IP. OZAX retains all rights in the underlying website structure, templates, components, and system (“OZAX Structure”). During an active subscription, we grant you a limited, non-transferable licence to use the OZAX Structure as part of your site. This licence ends when your subscription ends.
6.3 Administrative Access. We retain administrative access and may implement reasonable performance or design improvements to enhance results without materially harming your brand.

7. Domains & Third-Party Services

7.1 Domains. You are responsible for purchasing and renewing your domain name. We can assist with DNS configuration but do not sell domains.
7.2 Third-Party Services. Our Services rely on third parties (e.g. hosting, payments, analytics, marketing). You acknowledge that we do not control such services and that your use may be subject to their own terms and privacy policies.

8. Delivery Targets & Service Levels

8.1 Free Website Check — aim within 72 hours of receiving details (not guaranteed).
8.2 WaaS Delivery Target — approx. 3 weeks from complete content and payment (not guaranteed).
8.3 Support — responses typically within 1 business day; critical incidents handled as soon as reasonably possible.
8.4 Uptime — hosting via Third-Party Services; no guarantee of continuous uptime but we liaise with providers to restore service promptly.

9. Marketing, Credits & Portfolio Use

9.1 Portfolio. You grant us permission to display your project (screenshots, URLs, or results where lawful) in our portfolio and marketing materials.
9.2 Attribution. We may include a small “Built by OZAX” footer credit; you may request removal for an additional fee if offered.
